摘要：中海码头发展有限公司在推行比利时泽布吕赫码头股份收购项目的过程中，采取了现金流折现法测算项目议价；用敏感性分析法对项目的可行性进行了合理分析；聘请第三方专业团队对项目进行了法律、资产、财务的
尽职调查。这些创新管理降低了项目的投资风险，收到了降本增效的成果。关键词：现金流折算法；风险控制；资本成本；敏感性分析

Abstract; In 2013 August, after multiple negotiations, China Shipping Terminal Development Co, Ltd. signed a formal con tract with APMT and SIPG for the acquisition of 24 % shares of Belgian APMT Zeebrugge terminal., In the project implementa-tion process, CSTD used Discount Cash Flow Method to do program bargaining to make the final transaction price more reason able; they used Sensitivity Analysis Method to make the project more rational. and made a scientifice decision on the prospect of the project; they hired third party professional team to undertake due diligences for legal, assets and financial. The implemen tation of these methods helped them to reduce project investment risk, and gave them full confidence of future developments.

泽布吕赫港是比利时第二大港，位于比利时西北沿海，北海的东南侧，港区由布鲁日延伸到海边的泽布吕赫，中间有运河相连，长约5nmile。该港与英国的哈里奇港之间有火车、轮渡往来，距荷兰边界约10km。自1907年开港到20世纪60年代，其因独特的地理位置面成为欧洲大陆与英国联系的枢纽，得到了不断发展。泽布吕赫港区有内外港之分：内港在船闸内，港区有煤炭、矿石、农副产品等码头，由2个船闸控制；外港区系填海面成，包括散货码头、集装箱码头、液化天然气存储码头及双层滚装码头等，码头岸线共长为 10970m，最大水深达20m，可靠泊15万DWT的船舶。全港货物吞吐量增速超过了德国汉堡港.是欧洲消费品市场最重要的人口港之一，其同时还是世界领先的汽车装卸港，每年新车装卸量超过200万辆，一直担负着欧洲大陆与英国的货物及旅客运输
APMT泽布吕赫集装箱码头（以下简称APMTZ码头）于2005年开始对外运作，其面对公海，十分接近北美和西北欧的主要航线，可满足最大14000TEU集装箱船靠泊装卸。码头有通向欧洲其他国家的铁路收稿日期：2014-12-09
